These Terms & Conditions (“Terms”) govern all access to and use of the Spectre Distribution website (https://spectredistribution.com/) (“Website”) and all wholesale transactions conducted with Spectre Distribution Ltd (“Company”, “we”, “us”, or “our”).

By registering an account, completing our KYC process, or placing a wholesale order with us, you (“Buyer”, “Customer”, “you”, “your”) agree to be legally bound by these Terms.

1. Eligibility — Business Use Only

1.1 This Website and our wholesale services are strictly for registered businesses only.
1.2 We do not sell to consumers or individuals.
1.3 By creating an account, you confirm that:
• you are a registered business;
• you are authorised to act on behalf of the business;
• you and your business are over the age of 18;
• you are legally permitted to purchase nicotine containing products in your jurisdiction.

2. KYC, Business Verification & Account Registration

2.1 All customers must complete our Know Your Customer (KYC) verification before an account is approved.

2.2 KYC may include, but is not limited to:
• business registration certificates
• VAT/EORI numbers
• proof of trading address
• ID of authorised persons
• reseller or distributor licences (where applicable)

2.3 We reserve the right to:

3. Minimum Order Quantities (MOQ)

3.1 All orders must meet the minimum bulk requirements:

3.2 Orders below MOQ cannot be processed.

4. Product Market Selection & Regulatory Compliance

4.1 When placing an order, the Buyer must select the intended destination market (e.g., UK, EU, UAE, China, etc.) from the Website.

4.2 Products will be shipped with the correct packaging, warnings, and compliance labelling for the selected market.

4.3 The Buyer is fully responsible for selecting the correct market.
If the wrong market is selected, we are not liable for:
• non compliant packaging at destination;
• customs seizures;
• regulatory penalties;
• rejected shipments.

4.4 The Buyer agrees that Spectre Distribution Ltd is not responsible for any losses arising from incorrect market selection.

5. Pricing, Taxes & Duties

5.1 Prices are wholesale-only and visible exclusively to approved accounts.

5.2 All prices are listed in GBP unless otherwise stated.

5.3 Prices exclude VAT, duties, import taxes, and customs fees.

5.4 International Buyers are responsible for all duties, tariffs, and customs charges in their own jurisdictions.

6.Payment Terms

6.1 All invoices must be paid in full prior to dispatch, unless a credit account has been formally approved.

6.2 Payment methods accepted:
• bank transfer;
• major debit/credit cards;
• any additional methods shown at checkout.

6.3 Late payment may result in:
• delayed dispatch;
• suspension of account;
• withholding of further orders.

7. Shipping, International Delivery & Risk Transfer

7.1 All goods are shipped from our UK warehouse.

7.2 Dispatch timeframes are estimates only and not guaranteed.

7.3 International delivery times vary by region.

Risk Transfer
7.4 Risk of loss, damage, or seizure passes to the Buyer upon delivery to the Buyer or the Buyer’s nominated carrier.

7.5 We are not liable for:
• customs delays or refusals;
• incorrect documentation provided by the Buyer;
• loss or damage in transit;
• importer restrictions at destination.

8. Title & Ownership

8.1 Title to the goods remains with Spectre Distribution Ltd until full payment is received.

8.2 The Buyer will not receive possession of any goods until full payment has been made and cleared. Title to the goods passes to the Buyer only after full payment has been received, after which the goods will be shipped. Until payment is received in full, both the goods and title remain with Spectre Distribution Ltd.

9. Returns, Faulty Goods & Credits

9.1 As a wholesale customer, you acknowledge that change-of-mind returns are not permitted for any products supplied by Spectre Distribution Ltd.

9.2 Returns are accepted only for:
• faulty goods covered under warranty;
• goods damaged in transit;
• goods incorrectly supplied (evidence required).
All returns must be submitted in appropriate bulk form (e.g., outer or carton quantities). Single unit returns will not be accepted.

9.3 Before any return, repair, replacement, or credit is issued, the Buyer must provide:
• photographic and/or video evidence;
• order details;
• batch numbers and serial numbers;
• a full list of affected units.
We may request additional evidence if required.

9.4 Return Procedure
Faulty or damaged goods must be returned to Spectre Distribution Ltd for inspection before a claim can be processed. Goods cannot be tested or credited without physical return.

9.5 Available Remedies
Following inspection, Spectre Distribution Ltd may, at its discretion:
• repair the goods;
• replace the goods;
• issue a credit note to the Buyer’s account.
Credits are non refundable and must be used against future purchases.

9.6 Non Qualifying Returns
Returns will not be authorised for goods that:
• were damaged due to misuse or improper storage;
• were ordered for the wrong regulatory market;
• fall outside of the warranty period;
• cannot be verified against the Buyer’s invoice.

9.7 Requirements for a Credit Refund
A credit refund may be issued only where the Buyer meets all of the following conditions:
• Items must remain sealed in the original manufacturer’s packaging and be in resalable condition.
• A valid receipt or proof of purchase must be provided.
• The product serial number must match the serial number shown on the receipt or invoice.
• The goods must be returned to Spectre Distribution Ltd for inspection before any credit is applied.
If any of the above criteria are not met, Spectre Distribution Ltd reserves the right to refuse the return or decline to issue a credit. All credits issued to the Buyer’s account are non refundable and must be used against future purchases.

10. Warranty

10.1 Warranty terms follow our official Spectre Distribution Warranty Policy covering:
• batteries (90 days);
• chargers (90 days);
• pod kit devices (90 days).

10.2 To make a warranty claim, the Buyer must provide sufficient proof of defect and return the affected products to us for inspection. Warranty claims cannot be processed unless the goods in question are returned.

10.3 Warranty does not cover misuse, improper storage, or normal wear and tear.

11. Limitation of Liability

11.1 To the fullest extent permitted by law, Spectre Distribution Ltd shall not be liable for:
• loss of profits;
• loss of business or contracts;
• loss due to wrong market selection;
• loss caused by customs seizure;
• indirect or consequential losses.

11.2 Nothing in these Terms limits our liability for:
• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation;
• liabilities which cannot be excluded by law.

12. Regulatory Compliance

12.1 We ensure all products we ship meet the compliance and safety requirements for the market selected by the Buyer.

12.2 The Buyer is solely responsible for ensuring their import, resale, distribution, and marketing activities comply with the laws of their jurisdiction.

13. Suspension or Termination

We reserve the right to suspend or terminate accounts if:
• KYC information is incomplete or inaccurate;
• illegal activity is suspected;
• payments are overdue;
• terms are breached.

14. Governing Law

These Terms are governed by the laws of England & Wales.
Disputes will be resolved exclusively in the courts of England & Wales.
